ABOUT NON-GOVERNMENTAL ORGANIZATION

The «Union of Tourist Service Providers of Armenia» non-governmental organization received registration with the State Register of Legal Entities of the Ministry of Justice of the Republic of Armenia on February 5, 2024.

 The subject of the «Union of Tourist Service Providers of Armenia» non-governmental organization (abbreviated: TurUnion) activities is the protection of the rights of tour guides, attendants, drivers and other individuals and legal entities, operating in the tourism sector, and ensuring professional qualification for the benefit of the tourist attraction of the Republic of Armenia.

The founding meeting of the organization took place on January 17, 2024, but before the registration of documents in the register of legal entities of the Ministry of
Justice of the Republic of Armenia, 32 citizens had already joined the initiative.

As of January 1, 2025, the «Union of Tourist Service Providers of Armenia» non-governmental organization has 62 members representing the Armenian tourism sector.

THE PROCEDURE FOR GOVERNANCE OF THE ORGANIZATION

The governing bodies of the organization are the Assembly and the executive body – the President, who appoints and/or approves positions, advisory and professional groups and orders for the management and coordination of the activities of the Organization.

ASSEMBLY

The right to finalize any issue of the organization’s activities and management belongs to the supreme body of the Organization, the Assembly.

— Approval, amendment, supplementation of the organization’s charter and
approval of the charter in a new edition.

— Adoption of a decision on the establishment of another legal entity or the
participation of the Organization in another organization.

— Adoption of decisions on the establishment of separate subdivisions or
institutions of the Organization and approval of their charters.

— Approval of the Organization’s structure.

— Determination of the amount and payment procedure of the membership fee.

— Election, change and early termination of the powers of the President of the
Organization.

— Determination of the procedure and conditions for the remuneration of the
— President of the Organization.

— Once every three years, the approval of the annual reports on the activities and use of the Organization’s property approved by the President during the years preceding the convening of the Conference,

— Termination of the decisions of the Organization’s bodies that contradict the requirements of legal acts and the Charter,

— Adoption of a decision on the reorganization of the Organization,

— Adoption of a decision on the liquidation of the Organization (except for cases of liquidation by a court decision),

— Exercise of other powers stipulated by law.

The regular Assembly of the Organization is held once every three years. It is
convened by the President in the form of a joint meeting of members or, if this is not possible, remotely (using telecommunications means), drawing up
appropriate minutes.

An extraordinary Assembly of the Organization is convened by the President
or at least one third of the members of the Organization, by the President.

The Assembly may discuss issues and make decisions if more than half of all
members of the Organization participate in it.

 During the discussion of issues, decisions are made by a simple majority of votes of all members of the Organization.

PRESIDENT

The executive body of the Organization is the President of the Organization. He acts in accordance with the Charter of the Organization and the decisions of the Assembly Jurisdiction.

— Ensures the implementation of the decisions of the Assembly.

— Manages and administers the property of the Organization of any ype
and size, including financial resources

— Concludes transactions on behalf of the Organization.

— Represents the Organization in the Republic of Armenia and foreign countries.

— Issues powers of attorney.

— Opens settlement (including foreign currency) and other accounts of the Organization in banks.

— Within the limits of his authority, issues orders, instructions, gives
mandatory instructions for execution and monitors their implementation.

— Approves the organization's staff list and annual budget.

— Approves the annual reports on the activities and use of property of the Organization, as well as its bodies, for the years preceding the
convocation of the Assembly, which he submits to the Assembly for
approval every 3 years.

— Approves internal documents regulating the activities of the
Organization, including internal disciplinary and other rules of its
separate subdivisions and institutions.

— Admits members of the Organization and removes them from
membership in the Organization.

— Exercises other powers vested in it by law and the Organization’s
charter. 

Elected by the Assembly for a term of three years. The President
manages the activities of the Organization and chairs the sessions of the
Assembly.

The powers include all issues related to the management of the
Organization’s current activities, as well as ensuring the activities of the
Organization’s governing bodies.

Council

 The advisory body under the President, which develops the Organization’s strategy, implements and monitors the implementation of the decisions of the Assembly and the President.

 The members of the Council are appointed by the President and represent the President of the Organization in internal matters and external relations.

Committees

In order to implement the statutory goals and objectives and increase the efficiency of the Organization’s activities, by order of the President of the Organization, professional and special-purpose «Qualification», «Information» and «Legal» Committees were established, and the «Secretariat» and «Accounting» services were established.
